Sweepstakes Terms & Conditions

1. Sponsors

The sponsors of the D.LUXURY x ClearCo x Finaloop Sweepstakes are:

• DTC BRANDS LLC (DBA D.LUXURY BRANDS), 10866 Washington Blvd #1280, Culver City, California 90232.

• Finaloop, Inc., 38 6th Ave, Brooklyn, NY, 11217 (“Finaloop” and together with DTC Brands LLC, “Sponsors”).

CFT Clear Finance Technology Corp. (“Clearco”) role is limited to sponsorship of the prize specified below. Nothing in these Official Rules creates a partnership or joint venture with Clearco.

2. Sweepstakes Period

The Sweepstakes begins on May 27, 2025 12:01 AM ET and ends on June 26, 2025 11:59 PM ET (the "Sweepstakes Period"). Entries submitted before or after the Sweepstakes Period will not be eligible.

3. Eligibility

The Sweepstakes is open only to legal residents of the United States who are at least 21 years old as of the start of the Sweepstakes Period. Employees, officers, and directors of D.LUXURY Brands, Clearco, Finaloop, their affiliates, subsidiaries, advertising and promotion agencies, and immediate family members (spouse, parents, siblings, and children) and/or those living in the same household are not eligible to participate. This Sweepstakes is void where prohibited or restricted by law. Finaloop offers included as part of the prize are available to new Finaloop customers only and are not valid for existing customers.

4. How to Enter
To enter the Sweepstakes, participants must enter a legitimate first and last name, contact details, business name, role, website, and business’s annual revenue at www.dluxurybrands.com/sweepstakes. All entries must be received during the Sweepstakes Period. Only one entry per person is permitted. Any attempt to submit additional entries by using multiple/different identities, registrations, or any other methods may result in disqualification. By submitting a Sweepstakes entry, each entrant agrees that its Sweepstakes entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify entrant’s Sweepstakes entry for any reason, including if it determines, in its sole discretion, that entrant’s Sweepstakes entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion.

6. All other sweepstakes entrants are entitled to:

• Complimentary ecommerce health scan from DLUXURY (a lighter version of the full DIGITALRx+)

• Discounted pricing from Finaloop

7. Prize Pool value: $5,000

Prizes are non-transferable and must be accepted as awarded. No cash or other substitution is permitted except at the Sponsor’s and Clearco’s discretion. The Sponsors and Clearco reserve the right to substitute a prize with one of equal or greater value if the advertised prize becomes unavailable.

8. Winner Selection and Notification
The winners will be selected by random drawing under the supervision of the Sponsors on or around June 26. Winners will be notified via email within 7 days of the drawing. The Sponsors and Clearco are not responsible for any delay in notification due to technical difficulties.
Each winner will be required to sign and return an affidavit of eligibility, release of liability, and, where lawful, a publicity release within 7-10 days of notification. Return of prize or prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact a potential winner within 14 days of the drawing or noncompliance with these Official Rules by any potential winner will result in disqualification and forfeiture of the prize and, at Sponsor’s sole discretion, the applicable prize may be awarded to a runner-up. Prizes will be delivered approximately thirty (30) days from the date of winner verification.
9. Odds of Winning
The odds of winning depend on the number of eligible entries received.
10. Publicity
By submitting a Sweepstakes entry, each entrant grants, and represents and warrants that the entrant has the rights and authority necessary to grant Sponsors and Clearco an irrevocable, non-exclusive, fully sublicensable license and right to exploit, edit, modify, and distribute the Sweepstakes entry and all elements of such Sweepstakes entry, and use of the each entrant’s name, likeness, photograph, voice, opinions, and/or hometown and state,  in any and all media now known or hereafter devised, worldwide, in perpetuity without further payment, consideration, permission or notification to entrant or any third party.

11. Ownership of Entries: 

By submitting a Sweepstakes entry, each entrant agrees to be bound by the Official Rules and grant Sponsors and Clearco an exclusive, fully paid-up and royalty-free, worldwide license to use, modify, delete from, add to, publicly perform, publicly display, reproduce and translate such entrant’s Sweepstakes entry, including without limitation the right to distribute all or part of the Sweepstakes entry in any media formats through any media channels. By submitting a  Sweepstakes entry, each entrant consents to the use, by Sponsor, Clearco or/and any additional brands participating in this promotion, its affiliates, subsidiaries, parents, and licensees, of entrant’s name, likeness, and image, in connection with the Sweepstakes and Sponsor’s or Clearco’s related marketing activities, in any media or format now known or hereafter invented, in any and all locations, without any payment to or further approval from entrant. Each entrant agrees that this consent is perpetual and cannot be revoked. For uses beyond the consent granted above, entrant agrees that Sponsor’s or Clearco’s use of entrant’s personal data will be governed by the Privacy Policy posted on the Sponsors or Clearco’s website.
12. General Conditions
The Sponsors and Clearco reserve the right to cancel, suspend, or modify the Sweepstakes if any fraud, technical failures, or any other factor beyond Sponsors’ or Clearco’s control impairs the integrity or proper functioning of the Sweepstakes. The Sponsors and Clearco reserve the right in their sole discretion to disqualify any individual who tampers with the entry process or violates these Official Rules.

13. Release and Limitation of Liability
By entering, participants agree to release and hold harmless the Sponsors, Clearco, and their respective affiliates, subsidiaries, officers, directors, representatives, employees, and agents, as well as each of their respective successors, representatives and assigns from any liability for any injuries, losses, or damages of any kind arising from or in connection with, directly or indirectly, in any manner, in whole or in part, these Sweepstakes or any prize awarded, including but not limited to any injuries or damages from participation or acceptance of the prize.

14. Disputes
This Sweepstakes is governed by the laws of the United States and California, without respect to conflict of law doctrines. As a condition of participating in this Sweepstakes, participants agree that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or in connection with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in California.
15. Privacy
By entering the Sweepstakes, entrant consent to the use of its personal information (including entrant’s name, mailing address, and email address) by Sponsors, Clearco, and its authorized agents, for the purposes of administering the Sweepstakes and fulfilling the prizes to the winners, as well as for marketing purposes. Information submitted with an entry is subject to the Sponsors’ Privacy Policy, available at https://dluxurybrands.com/privacy-policy and data sharing policy https://dluxurybrands.com/data-sharing-policy-privacy/ and Clearco’s Privacy Policy available at https://clear.co/legal/privacy-policy.
16. Winner List
To obtain a copy of the winner’s name or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to: D.LUXURY x ClearCo x Finaloop Built to Last Accelerator Sweepstakes, D.LUXURY, 10866 Washington Blvd #1280, Culver City, California 90232. Requests must be received no later than June 25.
